These Terms of Service (“Terms”) govern your use of SY Limited’s website and Microsoft 365 support services. By accessing our website or engaging our services, you agree to be bound by these Terms.

SY Limited is a UK company (Registration: 04455327) specialising in Microsoft 365 support, configuration, security management, and IT consulting services. We are located at 10a High Street, Chislehurst, England, BR7 5AN.
2. Services Provided
SY Limited provides the following services:
• Microsoft 365 configuration and management
• Cybersecurity services and Cyber Essentials certification support
• IT support and technical consultation
• System monitoring and maintenance
• Security awareness training and compliance support
• Strategic IT planning and consultation
3. Acceptance of Terms
By accessing our website, requesting our services, or entering into a service agreement with SY Limited, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
4. Service Agreements
Specific services will be governed by separate service agreements that detail the scope of work, deliverables, timelines, and pricing. These Terms supplement but do not replace individual service agreements. In case of conflict, the specific service agreement takes precedence.
5. Client Responsibilities
Clients agree to:
• Provide accurate and complete information necessary for service delivery
• Grant appropriate access to systems and data required for support services
• Maintain current backups of critical data
• Follow security recommendations and best practices provided by SY Limited
• Pay invoices according to agreed terms
• Notify SY Limited promptly of any security incidents or system issues
6. Payment Terms
Payment terms will be specified in individual service agreements. Generally, invoices are payable within 30 days of issue unless otherwise agreed. Late payments may incur interest charges at the rate of 8% per annum above the Bank of England base rate.
7. Intellectual Property
SY Limited retains ownership of all intellectual property rights in our methodologies, tools, and documentation. Clients retain ownership of their data and business information. Any custom solutions developed specifically for a client will be governed by the terms of the individual service agreement.
8. Confidentiality
SY Limited maintains strict confidentiality regarding client information and business data. We will not disclose confidential information to third parties except as necessary for service delivery, with client consent, or as required by law. This obligation continues beyond the termination of our service relationship.
9. Limitation of Liability
SY Limited’s liability for any claim arising from our services is limited to the amount paid for the specific service giving rise to the claim. We exclude liability for indirect, consequential, or special damages. This limitation does not apply to liability for death or personal injury caused by negligence, fraud, or other matters where liability cannot be legally limited.
10. Service Availability
While we strive to provide continuous service availability, SY Limited does not guarantee uninterrupted access to our services or systems. We may perform maintenance, updates, or emergency repairs that temporarily affect service availability. We will provide reasonable notice where possible.
11. Data Protection and Security
SY Limited is committed to protecting client data in accordance with applicable data protection laws, including GDPR. We implement appropriate technical and organizational measures to ensure data security. Our data processing activities are governed by our Privacy Policy and any applicable Data Processing Agreements.
12. Termination
Either party may terminate ongoing service agreements with appropriate notice as specified in the individual agreement. Termination does not affect obligations that have already accrued. Upon termination, SY Limited will return or securely destroy client data as requested, subject to legal retention requirements.
13. Force Majeure
SY Limited is not liable for any failure to perform due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, network failures, or other force majeure events.
14. Governing Law
These Terms are governed by English law and subject to the exclusive jurisdiction of the English courts.
15. Changes to Terms
SY Limited may update these Terms from time to time. We will notify clients of significant changes and post updated Terms on our website. Continued use of our services after changes constitutes acceptance of the updated Terms.
